Welcome to Competitor Analyzer! These Terms of Service ("Terms") govern your access to and use of the website, services, and tools (collectively, the "Service") provided by Scale Studio LLC, operating as Competitor Analyzer ("Company," "we," "us," or "our").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY ACCESSING OR USING ANY PART OF THE SERVICE, YOU AGREE TO BE BOUND BY ALL OF THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS AND CONDITIONS, THEN YOU MAY NOT ACCESS OR USE THE SERVICE. OUR ACCEPTANCE OF YOUR USE OF THE SERVICE IS EXPRESSLY CONDITIONED UPON YOUR ASSENT TO ALL OF THE TERMS AND CONDITIONS DESCRIBED HEREIN.

1. Acceptance of Terms

By accessing and using the Competitor Analysis Tool, you agree to be bound by these Terms of Service. This establishes a clear contractual relationship upon your use of the Service.

2. Description of Service

Our Service provides competitive analysis of publicly available data from third-party social media platforms, primarily Facebook pages. The Service includes, but is not limited to, analysis of competitor Facebook pages, engagement metrics and statistics, performance comparison reports, and data visualization and insights.

YOU ACKNOWLEDGE AND AGREE THAT THE ANALYSIS IS BASED SOLELY ON PUBLICLY AVAILABLE DATA AND IS FOR INFORMATIONAL PURPOSES ONLY. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY ANALYSIS RESULTS. YOUR USE OF THE SERVICE IS ALSO SUBJECT TO THE TERMS AND POLICIES OF THE RESPECTIVE THIRD-PARTY PLATFORMS (E.G., META/FACEBOOK).

3. User Responsibilities

Users of our Service agree to:

  • Provide accurate and valid Facebook URLs for analysis.
  • Use the Service in compliance with all applicable local, state, national, and international laws and regulations.
  • NOT to attempt to reverse engineer, decompile, disassemble, or otherwise manipulate the Service or its underlying technology.
  • NOT to use any data mining, scraper, spider robots, or similar data gathering or extraction methods to access, monitor, or copy any content or information from the Service or the third-party platforms it analyzes, beyond the intended use of the Service.
  • Maintain the confidentiality of their account credentials and be responsible for all activities that occur under their account.
  • NOT to share or resell access to the Service without our express written authorization.
  • NOT to use the Service to engage in any illegal, fraudulent, or abusive activities.

4. Data Usage and Privacy

We collect and process data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you acknowledge that:

  • We only analyze publicly available data from third-party social media pages.
  • Analysis results are for informational purposes only.
  • We may use aggregated, anonymized data to improve our services.

5. Service Limitations and Disclaimers

USERS ACKNOWLEDGE AND AGREE THAT:

  • THE SERVICE MAY EXPERIENCE OCCASIONAL DOWNTIME FOR MAINTENANCE, UPGRADES, OR OTHER REASONS.
  • ANALYSIS RESULTS ARE BASED ON AVAILABLE DATA AT THE TIME OF PROCESSING AND MAY NOT REFLECT REAL-TIME CONDITIONS.
  • WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANALYSIS RESULTS.
  • SERVICE FEATURES AND FUNCTIONALITY MAY CHANGE OVER TIME WITHOUT PRIOR NOTICE.
  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

6. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, software, and the compilation thereof, are the exclusive property of Scale Studio LLC and are protected by intellectual property laws. Your use of the Service grants you no right or license to reproduce, distribute, or otherwise use any of our or third-party trademarks, logos, or copyrighted materials.

7. Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use the Service will immediately cease.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through a prominent notice on our Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

9. Indemnification

You agree to indemnify, defend, and hold harmless Scale Studio LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or any applicable law or regulation, or your violation of any rights of another party, including, but not limited to, your breach of any third-party platform terms (e.g., Meta/Facebook).

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Wyoming, and you hereby consent to the personal jurisdiction and venue therein.

11. Arbitration Clause

ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE DETERMINED BY ARBITRATION IN WYOMING BEFORE ONE ARBITRATOR. THE ARBITRATION SHALL BE ADMINISTERED BY JAMS PURSUANT TO ITS COMPREHENSIVE ARBITRATION RULES AND PROCEDURES AND IN ACCORDANCE WITH THE EXPEDITED PROCEDURES IN THOSE RULES. JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT HAVING JURISDICTION. THIS CLAUSE SHALL NOT PRECLUDE PARTIES FROM SEEKING PROVISIONAL REMEDIES IN AID OF ARBITRATION FROM A COURT OF APPROPRIATE JURISDICTION. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Further, unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
